|Reverse Stock Split
On July 10, 2020, the Extraordinary Shareholders’ Meeting approved the reverse stock split of Helbor shares in the proportion of 05 (five) shares for 1 (one) share, so that each lot of 05 (five) shares is split into a single share, without changing the value of the capital stock, in accordance with article 12 of the Corporation Law (“reverse stock split”).
The Company’s shareholders will have a period of thirty (30) days to adjust their stock positions in multiple lots of five (05) common shares issued by the Company as of July 13, 2020. Therefore, in accordance with B3’s operating procedures and in order to provide the Company’s shareholders with the full benefit of this period, the Company’s management has defined that the shareholders may adjust their positions until August 12, 2020 (“Adjustment Period”).
Adjustments to the shareholding position of each shareholder shall be made by the shareholders themselves, at their sole discretion, through private negotiations or through brokerage firms of their free choice authorized to operate by B3 S.A. – Brazil, Stock Exchange, Balcão (“B3”). Once the Adjustment Period has elapsed, as of August 13, 2020 (including), the reverse stock split will take effect automatically, without the need for any additional formality, and the Company’s shares will be traded in the new proportion.
After the execution of the reverse stock split, any fractions of shares will be identified and grouped into whole numbers and sold by the Company at auction to be held at B3. The net result of the auction shall be apportioned among the holders of the grouped shares, in proportion to the respective shares.

On July 10, 2020, a reverse stock split of Helbor’s shares was approved at the EGM in the proportion of 05 (five) shares to 1 (one) share. The Company’s shareholders will have a period of 30 (thirty) days to adjust their stock positions in multiple lots of 05 (five) common shares.
The Company’s management has defined that the shareholders may adjust their positions until August 12, 2020. The shares will be traded in the new proportion from August 13. (including).
